These Terms of Service and Terms of Sale govern access to the PolyKye Formulations website, online store, related services, and purchases made through them. They form a binding agreement between you and Canurta Naturals USA Inc., which operates the PolyKye Formulations brand (collectively, "PolyKye," "we," "us," or "our"). 

Please read these Terms carefully before using the website or placing an order. By accessing the website, creating an account, or purchasing a product, you agree to these Terms and the policies incorporated by reference below. If you do not agree, do not use the website or purchase our products. 

Our online store is hosted and supported by Shopify Inc. and its affiliates (collectively, "Shopify"), which provide the ecommerce platform and related technology that allow us to offer products and services to you. Canurta Naturals USA Inc. remains the seller and merchant of record for PolyKye sales. Any contract for the purchase of a PolyKye product is directly between you and Canurta Naturals USA Inc., not Shopify. 

1. Policies Incorporated Into These Terms 

The following policies, as posted on the website, are incorporated into these Terms: the Privacy Policy, Cookie Policy, Shipping and Delivery Policy, Returns and Refunds Policy, Subscription and Cancellation Policy, Health and Product Disclaimer, and Intellectual Property and Copyright Policy. Participation in the PolyKye Access Program is also subject to the separate PolyKye Access Program Terms and Access Program Privacy Notice. 

If a program-specific or transaction-specific policy conflicts with these Terms on the same subject, the more specific policy controls for that subject. Product labels, warnings, and directions remain controlling for product use. 

2. Eligibility and United States Availability 

You must be at least 21 years old and legally capable of entering into a binding agreement. If a higher minimum age applies to a particular product or location, you must meet that requirement. You may not purchase for or provide a regulated product to a person who is not legally eligible to receive it. 

The website and online store are directed to customers in the United States. Products are available only in locations presented as eligible at checkout. We may restrict or decline orders based on product, destination, applicable law, carrier requirements, or operational limitations. 

3. Product Information and Intended Use 

We aim to describe our products accurately, but product images, colors, packaging, ingredients, availability, and other details may change. Website content is general information and does not replace the current product label. Read and follow all label directions and warnings before use. 

Our products and website content are not intended to diagnose, treat, cure, or prevent any disease. Statements about products may not have been evaluated by the U.S. Food and Drug Administration. Website content is not medical advice and does not create a healthcare professional-patient relationship. 

Consult a qualified healthcare professional before using a product, especially if you are pregnant or nursing, take medication, have a health condition, are preparing for surgery, or have questions about suitability. Stop use and seek appropriate care if you experience an adverse reaction. In an emergency, contact emergency services or poison control immediately. 

4. Hemp and Cannabinoid Products 

Some PolyKye products may contain hemp-derived compounds, including cannabidiol. Laws and restrictions vary by jurisdiction and may change. You are responsible for determining whether your purchase, possession, and use are lawful where you live or travel. We may change shipping eligibility or cancel an order when reasonably necessary to comply with applicable requirements. 

Use of a hemp-derived or cannabinoid-containing product may create a risk of a positive drug test, even when the product is described or tested as containing no detectable THC. Individual responses and testing methods vary. PolyKye does not guarantee any drug-testing outcome and is not responsible for employment, athletic, legal, travel, or other consequences arising from a drug test. 

Do not drive, operate machinery, or undertake safety-sensitive activities if you feel impaired or otherwise affected. Keep products secured and out of reach of children and animals. 

5. Orders and Acceptance 

Your order is an offer to purchase. An order confirmation acknowledges receipt but does not necessarily constitute acceptance. We may accept, decline, limit, or cancel an order before shipment, including because of inventory, pricing or description errors, suspected fraud, legal restrictions, payment issues, purchase limits, or suspected unauthorized resale. 

If we cancel an order after payment is captured, we will issue a refund to the original payment method for the canceled portion. We may limit quantities per person, household, account, payment method, billing address, shipping address, or order. 

Products are sold for personal or household use unless we expressly agree otherwise in writing. Purchasing for unauthorized commercial resale, diversion, export, or use in another product is prohibited. 

6. Prices Payment and Taxes 

Prices are shown in U.S. dollars unless stated otherwise and may change without notice. The price displayed when an order is submitted applies to that order, subject to correction of obvious errors. Promotions and discounts are subject to their stated terms and may not be combined unless expressly permitted. 

You authorize us and our payment providers, which may include Shopify Payments and providers supporting Shop Pay or another checkout option you select, to charge the payment method submitted for the total shown at checkout, including applicable taxes, shipping, and other disclosed charges. You represent that you are authorized to use the payment method and that the billing information provided is accurate. You are responsible for taxes not collected at checkout when applicable. A payment or accelerated-checkout provider may also present terms that govern your use of its service. 

7. Shipping Delivery and Risk of Loss 

Shipping destinations, methods, charges, processing estimates, delivery estimates, address requirements, and procedures for delayed, lost, stolen, damaged, or misdelivered packages are governed by the Shipping and Delivery Policy. Delivery dates are estimates, not guarantees. 

Title and risk of loss pass as provided by applicable law and the Shipping and Delivery Policy. You are responsible for providing a complete and accurate delivery address and for ensuring that an eligible recipient can safely receive the shipment. 

8. Returns Refunds and Order Problems 

Returns, replacements, refunds, and claims involving damaged, defective, incorrect, or missing products are governed by the Returns and Refunds Policy. Certain products may be ineligible for return after opening because of health, safety, or quality-control considerations, except where applicable law requires otherwise. 

Do not return a product without following the process in the Returns and Refunds Policy. Refund timing may depend on the original payment provider and financial institution. 

9. Subscriptions and Automatic Renewal 

When you enroll in a subscription, you authorize recurring charges and shipments at the frequency, price, and terms disclosed when you enroll. Unless canceled, the subscription renews automatically until canceled. Subscription pricing, notices, payment retries, shipment timing, changes, skipping or pausing, cancellation, and refunds are governed by the Subscription and Cancellation Policy presented before purchase. 

You may cancel through the method described in the Subscription and Cancellation Policy. Cancellation takes effect as stated in that policy and may not stop an order that has already been processed. We will obtain any consent and provide any notices required by applicable law. 

10. Access Program Promotions and Discount Codes 

The PolyKye Access Program is governed by its separate Program Terms. Access Program eligibility, approvals, discounts, usage limits, renewal, and removal are not determined by these general Terms. Unless the Program Terms state otherwise, purchases made through the Access Program remain subject to the general Shipping and Delivery Policy, Returns and Refunds Policy, and any applicable Subscription and Cancellation Policy. 

Promotional offers, referral benefits, discount codes, gifts, and rewards may be subject to additional conditions and may be modified or withdrawn as permitted by law. They have no cash value, may not be transferred or resold, and may be refused or reversed if obtained or used through error, abuse, fraud, or violation of the applicable offer terms.

We may update, suspend, discontinue, or restrict any part of the website or services, and may correct errors or omissions, subject to existing orders and applicable law. We do not guarantee that the website will always be available, uninterrupted, secure, or error-free. 

17. Force Majeure 

PolyKye will not be liable for a delay or failure to perform an obligation under these Terms to the extent caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, epidemic or public-health emergency, war, terrorism, civil unrest, government action, labor disruption, carrier or transportation disruption, utility or telecommunications failure, cyberattack affecting third-party infrastructure, or material supply interruption. PolyKye will use commercially reasonable efforts to resume affected performance when practicable. This section does not limit any cancellation, refund, replacement, or other consumer right that cannot lawfully be limited or that is expressly provided under an applicable policy. 

18. Disclaimer of Warranties 

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, SERVICES, AND WEBSITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." POLYKYE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PRODUCTS ARE SUBJECT TO ANY EXPRESS WARRANTY STATED ON THE PRODUCT OR REQUIRED BY LAW. 

We do not warrant that a product will produce a particular health, wellness, performance, or drug-testing outcome. Individual experiences vary. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded. 

19. Limitation of Liability 

TO THE FULLEST EXTENT PERMITTED BY LAW, POLYKYE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE WEBSITE, SERVICES, PRODUCTS, OR THESE TERMS. 

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF POLYKYE AND THE OTHER PARTIES LISTED ABOVE FOR CLAIMS ARISING FROM OR RELATED TO A PRODUCT ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM. FOR OTHER CLAIMS, TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID TO POLYKYE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. 

These limitations do not apply to liability that cannot be limited or excluded under applicable law, including where applicable liability for fraud, willful misconduct, gross negligence, personal injury caused by negligence, or violation of non-waivable consumer rights. 

20. Indemnification 

To the extent permitted by law, you agree to defend, indemnify, and hold harmless PolyKye and its affiliates, officers, directors, employees, and agents from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful misuse of the website or services, your material breach of these Terms, or your violation of another person's rights. This section does not require you to indemnify any party for its own unlawful conduct, negligence, or willful misconduct. 

21. Governing Law and Courts 

These Terms are governed by the laws of the State of Oregon and applicable federal law, without regard to conflict-of-law rules. Any dispute that is not resolved informally will be brought in a state court with jurisdiction in Marion County, Oregon, or the United States District Court for the District of Oregon, and each party consents to those courts' jurisdiction and venue. 

If you are a consumer, this section does not deprive you of protections or rights that cannot be waived under the laws that apply where you live. The United Nations Convention on Contracts for the International Sale of Goods does not apply. 

22. Informal Resolution 

Before filing a claim, please contact us with a description of the issue and the relief requested so that we can try to resolve it. This informal process does not extend a legal limitation period or prevent either party from seeking urgent injunctive relief. These Terms do not require arbitration and do not waive any right to participate in a class action where such a right applies. 

23. Changes to These Terms 

We may update these Terms to reflect changes in our services, products, operations, or legal requirements. The revised version will state its effective date. Changes apply prospectively when posted or otherwise communicated, except where applicable law requires additional notice or consent. The Terms in effect when an order is submitted govern that order, except for changes required by law. 

24. General Terms 

If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the applicable business, subject to applicable law. 

These Terms and the incorporated policies constitute the agreement between you and PolyKye regarding the website, services, and purchases, except for any separate written agreement that expressly applies. Section headings are for convenience only. Provisions that by their nature should survive termination will survive. 

Except for PolyKye's affiliates, officers, directors, employees, agents, licensors, and service providers to the extent they are expressly protected under Sections 19 and 20, these Terms do not create rights enforceable by any other third party. Those expressly protected parties are intended third-party beneficiaries of the applicable protections and may enforce them. 

25. Electronic Communications 

You consent to receive transaction-related communications electronically, including order, account, subscription, policy, and service notices, at the contact information you provide or through the website. Marketing communications are optional and governed by your choices and our Privacy Policy. You may withdraw marketing consent without affecting Access Program eligibility or ordinary purchases. 

26. Legal Notices 

Formal legal notices to PolyKye under these Terms must be in writing and delivered by personal delivery, nationally recognized overnight courier, or registered or certified mail, return receipt requested, to Canurta Naturals USA Inc., PolyKye Formulations, at the mailing address listed in the Contact section. A notice is effective when actually received, except that a notice sent by registered or certified mail or nationally recognized overnight courier is deemed received on the date shown by the carrier's delivery record. Messages submitted through ordinary customer-service channels or social media do not constitute formal legal notice unless PolyKye expressly agrees otherwise in writing. 

PolyKye may provide legal or service-related notices to you electronically at the email address associated with your account or order, through the website, or by another method permitted by applicable law. Electronic notice is deemed received when sent or posted, unless we receive notice that delivery failed, subject to any different rule required by applicable law.
